1) Scope
1.1 These General Terms and Conditions (hereinafter "GTC") of Versigo GmbH (hereinafter "Seller") apply to all contracts for the delivery of goods concluded between a consumer or entrepreneur (hereinafter "Customer") and the Seller with regard to the goods presented by the Seller in its online shop. The inclusion of the Customer’s own terms and conditions is hereby rejected unless otherwise agreed.
1.2 A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.
1.3 An entrepreneur within the meaning of these GTC is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their commercial or self-employed professional activity.
2) Conclusion of Contract
2.1 The product descriptions contained in the Seller’s online shop do not constitute binding offers by the Seller but serve to enable the Customer to submit a binding offer.
2.2 The Customer may submit the offer via the online order form integrated into the Seller’s online shop. After placing the selected goods in the virtual shopping cart and completing the electronic ordering process, the Customer submits a legally binding contractual offer with regard to the goods in the cart by clicking the button that completes the order process. The Customer may also submit the offer by email to the Seller.
2.3 The Seller may accept the Customer’s offer within five days:

by sending the Customer a written order confirmation or an order confirmation in text form (fax or email), whereby receipt of the confirmation by the Customer is decisive; or
-
by delivering the ordered goods to the Customer, whereby receipt of the goods by the Customer is decisive; or
-
by requesting payment from the Customer after the order has been placed.
If several of the above alternatives occur, the contract is concluded at the time when one of them first occurs. The acceptance period begins on the day after the Customer sends the offer and ends at the end of the fifth day following dispatch. If the Seller does not accept the offer within this period, this shall be deemed a rejection, and the Customer is no longer bound by their declaration.
2.4 If a payment method offered via PayPal is selected, payment processing is carried out via PayPal (Europe) S.à r.l. et Cie, S.C.A., Luxembourg, subject to PayPal’s terms of use. If the Customer selects a PayPal payment method during the ordering process, the Seller hereby declares acceptance of the Customer’s offer at the moment the Customer clicks the order completion button.
2.5 When submitting an offer via the online order form, the contract text is stored by the Seller after conclusion of the contract and transmitted to the Customer in text form (e.g., email). No further access to the contract text is provided. If the Customer has created a user account, order data is archived and can be accessed via the password-protected account.
2.6 Before submitting a binding order, the Customer can identify input errors by carefully reviewing the information displayed on the screen. The browser’s zoom function may assist in detecting such errors. Inputs can be corrected using standard keyboard and mouse functions until the order is submitted.
2.7 Different languages are available for concluding the contract. The specific language selection is displayed in the online shop.
2.8 Order processing and communication are generally conducted via email and automated systems. The Customer must ensure that the email address provided is correct and that emails from the Seller can be received, particularly when using spam filters.
3) Right of Withdrawal
3.1 Consumers generally have a right of withdrawal.
3.2 Detailed information on the right of withdrawal can be found in the Seller’s withdrawal policy.
4) Prices and Payment Terms
4.1 Unless otherwise stated, all prices are total prices including statutory VAT. Any additional delivery and shipping costs are specified separately.
4.2 Available payment methods are communicated in the online shop.
4.3 If payment in advance by bank transfer is agreed, payment is due immediately after conclusion of the contract unless otherwise agreed.
4.4 If a PayPal payment method is selected, payment is processed via PayPal. The Seller may assign payment claims to PayPal or its partners. A credit check may be carried out. The Seller reserves the right to refuse certain payment methods in case of negative results.
4.5 If a payment method via Shopify Payments is selected, payment processing is carried out by Stripe Payments Europe Ltd., Ireland. Additional terms may apply.
5) Delivery and Shipping Conditions
5.1 Delivery is made to the address specified by the Customer within the delivery area defined by the Seller.
5.2 If delivery fails due to reasons attributable to the Customer, the Customer bears the resulting costs. This does not apply if the Customer validly exercises their right of withdrawal.
5.3 Risk passes to entrepreneurs upon handover to the carrier. For consumers, risk passes upon delivery unless the Customer independently commissions the carrier.
5.4 The Seller reserves the right to withdraw from the contract in the event of incorrect or improper self-supply, provided this is not the Seller’s fault.
5.5 Self-collection is not possible for logistical reasons.
6) Retention of Title
The Seller retains ownership of the delivered goods until full payment has been made.
7) Warranty (Liability for Defects)
Statutory warranty rights apply unless otherwise specified:
7.1 For entrepreneurs:

7.2 Limitations do not apply to:

fraudulent concealment

construction-related goods

7.3 Statutory recourse rights remain unaffected.
7.4 Commercial inspection and notification obligations apply under German law.
7.5 Consumers are requested to report transport damage, without affecting their rights.
8) Liability
8.1 The Seller is fully liable:

in cases of intent or gross negligence
-
for injury to life, body, or health
-
under guarantees
-
under mandatory liability laws
8.2 In case of negligent breach of essential obligations, liability is limited to foreseeable damage.
8.3 Otherwise, liability is excluded.
8.4 These rules also apply to agents and representatives.
9) Applicable Law
The law of the Federal Republic of Germany applies, excluding international sales law. For consumers, mandatory protections of their country of residence remain unaffected.
10) Place of Jurisdiction
For merchants or legal entities, the Seller’s registered office is the place of jurisdiction. The Seller may also choose the Customer’s location.
11) Alternative Dispute Resolution
The Seller is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
